CARDHOLDER AGREEMENT

1. Introduction

These US User Card Terms (“Card Terms” or “Agreement”) are entered into between you (“you,” “your,” or “Cardholder”) and AETERNUM CAPITAL LTDA, doing business as Dolafy (“Dolafy,” “we,” “us,” or “our”), with respect to the Dolafy Visa Prepaid Card (“Card”) issued to you. The Card is issued by a regulated financial institution (“Issuer”) under license from Visa U.S.A. Inc. (“Visa”). Dolafy is a financial technology company and is not a bank. Banking services are provided by the Issuer.

These Card Terms are in addition to the Dolafy Terms of Service and the Dolafy Privacy Policy available at dolafy.com/legal/privacy. In the event of a conflict between these Card Terms and the Dolafy Terms of Service, these Card Terms will control with respect to matters relating to the Card.

By activating or using the Card, you acknowledge that you have received, read, and agree to be bound by these Card Terms, including the Interest Rate and Interest Charges Disclosure above and the Arbitration Agreement in Section 21.

2. Defined Terms

As used in these Card Terms, the following terms have the meanings set forth below:

“Account” or “Dolafy Account” means your account with Dolafy through which you access and manage your Card and funded balance.

“Authorized User” means any individual you authorize to use the Card or a Card number on your behalf.

“Available Balance” means the amount of funds loaded onto your Dolafy Account and available for use with the Card at any given time.

“Billing Cycle” means the period of time between statements, as determined by Dolafy, which is typically one calendar month.

“Card” means the Dolafy Visa Prepaid Card issued to you under these Card Terms, including any physical or virtual card.

“Cardholder” means the individual to whom the Card is issued.

“Charge” or “Charges” means any purchase, transaction, fee, or other amount charged to or applied against your Card.

“Dolafy Account” means your funded account with Dolafy, the balance of which determines your spending limit.

“Issuer” means the regulated financial institution that issues the Card under license from Visa.

“Merchant” means any retailer, vendor, or other entity that accepts Visa cards for payment.

“Minimum Payment” means the minimum amount, if any, you must pay or load by the payment due date. Because the Dolafy Card is a prepaid card, there is no minimum payment due — you spend only what you have loaded.

“New Balance” means the total balance on your account at the end of a Billing Cycle, reflecting all Charges, credits, fees, and loads during the cycle.

“PIN” means the Personal Identification Number assigned to or selected by you for use with the Card.

“Previous Balance” means the balance on your account at the beginning of a Billing Cycle, which is the New Balance from the preceding Billing Cycle.

“Spending Limit” means the maximum amount you may charge to the Card, as determined by the Available Balance in your Dolafy Account.

“Statement” means the periodic summary of your account activity during a Billing Cycle.

“Visa” means Visa U.S.A. Inc. or its applicable affiliate.

3. Funding

Your Dolafy Card is a prepaid card. You must load funds onto your Card before making purchases. Your spending limit corresponds to the available balance in your Dolafy Account. You must maintain sufficient funds in your Dolafy Account to cover all Charges. If your account balance is insufficient, transactions may be declined.

3.1. Loading Funds. You may load funds onto your Dolafy Account using the methods made available by Dolafy from time to time, which may include bank transfer, debit card, or other available methods. Dolafy reserves the right to set minimum and maximum load amounts and to limit the frequency of loads. Loaded funds may be subject to a holding period before they become available for use.

3.2. Spending Limit. Your Spending Limit equals the Available Balance in your Dolafy Account. You cannot spend more than your Available Balance. Dolafy may impose additional limits on the amount or frequency of transactions at its sole discretion.

3.3. Balance Inquiries. You may check your Available Balance at any time by logging into your Dolafy Account at dolafy.com or through the Dolafy application.

3.4. Negative Balances. In certain circumstances, such as when a Merchant submits a transaction after authorization, when returns or adjustments are processed, or when fees are assessed, your account balance may become negative. You are responsible for any negative balance and must promptly load sufficient funds to bring your balance to zero or above. Dolafy reserves the right to suspend or terminate your Card if you maintain a negative balance.

3.5. No Credit Extended. The Dolafy Card is a prepaid card, not a credit card. No credit is extended to you. Your spending is limited to the funds you have loaded. No interest is charged on your balance. The 0% APR disclosed above reflects the prepaid nature of the Card.

4. Eligibility

4.1. To be eligible for the Card, you must: (a) have a valid Dolafy Account in good standing; (b) be at least 18 years of age (or the age of majority in your state of residence, whichever is greater); (c) be a United States citizen, lawful permanent resident, or otherwise lawfully present in the United States with a valid U.S. address; (d) satisfy all applicable Know Your Customer (KYC) verification requirements; and (e) agree to and comply with these Card Terms and the Dolafy Terms of Service.

4.2. This Card is intended for personal use. By activating or using the Card, you represent and warrant that the Card will be used primarily for personal, family, or household purposes.

4.3. Dolafy reserves the right to approve or deny Card applications at its sole discretion and to revoke Card privileges at any time.

5. Use of the Card

5.1. Primary Purpose. The primary purpose of the Card is to facilitate personal expenses. You may use the Card to make purchases at Merchants that accept Visa cards, subject to your Available Balance and any Spending Limits.

5.2. Authorized Users. You may authorize other individuals to use the Card on your behalf. You are responsible for all Charges made by Authorized Users. You must ensure that all Authorized Users comply with these Card Terms. You may revoke authorization for any Authorized User at any time by contacting Dolafy.

5.3. Card Activation. The Card must be activated before use in accordance with the instructions provided by Dolafy. By activating the Card, you agree to these Card Terms.

5.4. Virtual Cards. Dolafy may issue virtual Card numbers for use in online or card-not-present transactions. Virtual cards are subject to the same terms and conditions as physical cards.

5.5. International Transactions. The Card may be used for transactions outside the United States where Visa is accepted. International transactions may be subject to foreign currency conversion fees and exchange rate markups as described in Section 8.

5.6. ATM Withdrawals. If enabled by Dolafy, you may use the Card to withdraw cash from ATMs that display the Visa or Plus logos, subject to applicable fees and daily withdrawal limits.

5.7. Recurring Transactions. You may use the Card to set up recurring transactions with Merchants (e.g., subscriptions). You are responsible for ensuring sufficient Available Balance for each recurring Charge. If a recurring transaction is declined due to insufficient funds, Dolafy is not liable for any consequences.

6. Prohibited Uses

6.1. You may not use the Card for any purpose that is unlawful, fraudulent, or prohibited by these Card Terms, the Dolafy Terms of Service, or Visa rules. Without limiting the foregoing, you may not use the Card:

(a) For any transaction that violates applicable federal, state, or local law, or the laws of the jurisdiction where the transaction occurs;

(b) For any transaction involving illegal goods or services;

(c) For any transaction identified on the Dolafy prohibited activities list at dolafy.com/legal/prohibitions;

(d) To make purchases from Merchants in jurisdictions subject to comprehensive sanctions maintained by the United States government;

(e) To engage in money laundering, terrorist financing, or other financial crimes;

(f) To circumvent any Spending Limit or other restriction imposed by Dolafy or the Issuer;

(g) For any cash advance unless expressly permitted by Dolafy;

(h) For transactions at gambling establishments, unless expressly permitted;

(i) For purchases of money orders, traveler’s checks, or other cash equivalents, unless expressly permitted by Dolafy.

6.2. Dolafy reserves the right to decline any transaction that it reasonably believes may violate these Card Terms or applicable law.

7. Statements and Billing Cycles

7.1. Statements. Dolafy will make available a periodic Statement for each Billing Cycle during which there is activity on your Card or a balance on your account. Your Statement will include, at a minimum: (a) the Previous Balance; (b) a summary of Charges, credits, loads, and fees during the Billing Cycle; (c) the New Balance; and (d) the Available Balance.

7.2. Billing Cycle. Your Billing Cycle is typically one calendar month. Dolafy will notify you if your Billing Cycle changes.

7.3. Electronic Statements. Statements will be provided electronically through your Dolafy Account. You consent to electronic delivery of Statements. You may access your Statements at dolafy.com.

7.4. Review of Statements. You are responsible for reviewing each Statement promptly upon availability. You must notify Dolafy of any error or unauthorized transaction within sixty (60) days of the Statement date on which the error or unauthorized transaction first appears. Failure to notify Dolafy within this period may limit your rights under applicable law.

7.5. Transaction History. In addition to periodic Statements, you may view your real-time transaction history at any time through your Dolafy Account.

8. Fees

8.1. Card Fees. Dolafy may charge fees in connection with the issuance and use of the Card. A current schedule of fees is available in your Dolafy Account and at dolafy.com. Dolafy reserves the right to change the fee schedule upon forty-five (45) days’ prior notice to you.

8.2. Foreign Transaction Fees. Transactions made in a currency other than U.S. dollars will be converted to U.S. dollars by Visa at Visa’s then-current exchange rate. A foreign transaction fee may apply as disclosed in the fee schedule.

8.3. ATM Fees. If ATM access is enabled, ATM withdrawals may be subject to fees charged by Dolafy and/or the ATM operator.

8.4. Replacement Card Fees. A fee may be charged for issuing a replacement physical Card.

8.5. No Late Fees. Because the Dolafy Card is a prepaid card with no credit extended, there are no late payment fees.

8.6. No Over-Limit Fees. There are no over-limit fees. Transactions that would exceed your Available Balance will be declined.

8.7. No Interest Charges. No interest is charged on any balance. The Card is a prepaid card and no credit is extended.

8.8. Other Fees. Additional fees may be charged as disclosed in the fee schedule or as otherwise permitted by applicable law.

8.9. All fees will be deducted from your Available Balance. If your Available Balance is insufficient to cover fees, your balance may become negative, and you are responsible for restoring a non-negative balance.

9. Payments and Loading

9.1. No Minimum Payment. Because the Dolafy Card is a prepaid card, there is no minimum payment due. You spend only the funds you have loaded.

9.2. Loading Methods. You may load funds using the methods available through your Dolafy Account. Loads may take time to process depending on the method used.

9.3. Refunds and Credits. If a Merchant issues a refund for a transaction made with the Card, the refund will be credited to your Available Balance. Processing times for refunds vary by Merchant.

10. Lost or Stolen Cards

10.1. Immediate Notification. If your Card is lost, stolen, or you suspect unauthorized use, you must notify Dolafy immediately by contacting support@dolafy.com. You may also freeze your Card immediately through your Dolafy Account at dolafy.com.

10.2. Your Liability. Under federal law (the Electronic Fund Transfer Act and Regulation E), your liability for unauthorized transactions depends on how quickly you report the loss or theft:

(a) If you report within two (2) business days of learning of the loss or theft, your liability is limited to the lesser of $50 or the amount of unauthorized transactions that occurred before notification.

(b) If you report after two (2) business days but within sixty (60) days of the Statement date on which unauthorized transactions appear, your liability is limited to the lesser of $500 or the amount of unauthorized transactions.

(c) If you fail to report within sixty (60) days of the Statement date on which unauthorized transactions appear, you may be liable for the full amount of unauthorized transactions that occur after the sixty (60) day period.

10.3. Visa Zero Liability. The Visa Zero Liability policy may provide additional protection for unauthorized transactions. This policy covers U.S.-issued cards and applies to transactions processed over the Visa network when the Cardholder has not been grossly negligent. See Visa’s terms for details.

10.4. Replacement Card. Upon receiving notice of a lost or stolen Card, Dolafy will promptly deactivate the Card and issue a replacement. A replacement card fee may apply.

10.5. Cooperation. You agree to cooperate with Dolafy and the Issuer in any investigation of unauthorized use, including by providing a written statement or affidavit and filing a police report if requested.

11. Error Resolution

11.1. Notification of Errors. If you believe there is an error on your Statement or in your transaction history, contact Dolafy at support@dolafy.com as soon as possible, and no later than sixty (60) days after the Statement date on which the error first appeared.

11.2. Information Required. When reporting an error, please provide: (a) your name and Dolafy Account information; (b) a description of the error and why you believe it is an error; (c) the dollar amount involved; and (d) the date the error appeared.

11.3. Investigation. Dolafy will investigate your error claim and will determine whether an error occurred within ten (10) business days of receiving your notice. If Dolafy needs more time, it may take up to forty-five (45) calendar days (or ninety (90) calendar days for transactions occurring within thirty (30) days of account opening, point-of-sale transactions, or foreign-initiated transactions) to complete the investigation.

11.4. Provisional Credit. If Dolafy requires more than ten (10) business days to investigate, it will provisionally credit your account for the amount of the suspected error within ten (10) business days of receiving your notice. Provisional credit will be available for your use during the investigation.

11.5. Results of Investigation. Dolafy will notify you of the results of the investigation within three (3) business days of completing it. If Dolafy determines that no error occurred, it will provide a written explanation and, if provisional credit was provided, debit the provisional credit from your account. You may request copies of the documents relied upon in the investigation.

12. Unauthorized Transactions

12.1. If you believe an unauthorized transaction has been made using your Card, you must notify Dolafy immediately by contacting support@dolafy.com.

12.2. You are responsible for safeguarding your Card, Card number, PIN, and any other security credentials. You should not share your PIN or Card number with anyone you do not trust.

12.3. Dolafy will investigate reported unauthorized transactions in accordance with applicable law, Regulation E, and Visa rules. Your rights and liabilities for unauthorized transactions are described in Section 10.2.

13. Suspension and Termination

13.1. Suspension. Dolafy may suspend your Card or Dolafy Account at any time, with or without notice, if: (a) Dolafy suspects unauthorized or fraudulent activity; (b) you are in breach of these Card Terms or the Dolafy Terms of Service; (c) your Dolafy Account has a negative balance; (d) required by applicable law or regulation; or (e) requested by the Issuer or Visa.

13.2. Termination by You. You may terminate your Card at any time by contacting Dolafy at support@dolafy.com. Termination will be effective upon processing by Dolafy. You remain responsible for all Charges incurred prior to termination and for any negative balance.

13.3. Termination by Dolafy. Dolafy may terminate your Card at any time for any reason upon thirty (30) days’ notice to you, or immediately if Dolafy reasonably believes you have engaged in fraud or other illegal activity.

13.4. Effect of Termination. Upon termination, your Card will be deactivated and you may no longer use it for transactions. Any remaining Available Balance will be returned to you in accordance with Dolafy’s then-current procedures, less any outstanding fees or amounts owed. You should cancel any recurring transactions set up with Merchants before termination.

14. Limitation of Liability

14.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOLAFY, THE ISSUER, AND VISA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE CARD.

14.2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF DOLAFY ARISING OUT OF OR RELATED TO THESE CARD TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO DOLAFY DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14.3. DOLAFY SHALL NOT BE LIABLE FOR: (a) ANY MERCHANT’S REFUSAL TO ACCEPT THE CARD; (b) ANY MALFUNCTION OF THE CARD OR CARD PROCESSING SYSTEM; (c) ANY DELAY OR FAILURE IN PROCESSING A TRANSACTION; (d) ANY ACTIONS TAKEN BY THE ISSUER OR VISA; OR (e) ANY FORCE MAJEURE EVENT.

14.4. THE LIMITATIONS IN THIS SECTION SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF DOLAFY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14.5. NOTHING IN THESE CARD TERMS SHALL LIMIT YOUR RIGHTS UNDER APPLICABLE CONSUMER PROTECTION LAWS, INCLUDING THE ELECTRONIC FUND TRANSFER ACT AND REGULATION E, TO THE EXTENT SUCH RIGHTS CANNOT BE WAIVED.

15. Indemnification

You agree to indemnify, defend, and hold harmless Dolafy, the Issuer, Visa, and their respective officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Card in violation of these Card Terms; (b) your breach of these Card Terms; (c) your violation of any applicable law or regulation; or (d) any fraudulent or unauthorized Charge attributable to your negligence.

16. Dispute Resolution with Merchants

16.1. If you have a dispute with a Merchant regarding a transaction made with the Card, you should first attempt to resolve the dispute directly with the Merchant.

16.2. If you are unable to resolve the dispute with the Merchant, you may contact Dolafy at support@dolafy.com to initiate a chargeback or dispute process in accordance with Visa rules. You must provide all information and documentation requested by Dolafy to support your dispute.

16.3. Dolafy will process disputes in accordance with applicable Visa rules and regulations. The outcome of any dispute is subject to Visa’s dispute resolution procedures and is not guaranteed.

16.4. While a dispute is pending, the Charge in question will remain on your account unless provisional credit is issued in accordance with Section 11.

17. Military Lending Act Disclosure

Federal law provides important protections to members of the Armed Forces and their dependents relating to extensions of consumer credit. In general, the cost of consumer credit to a member of the Armed Forces and his or her dependent may not exceed an annual percentage rate of 36 percent. This rate must include, as applicable to the credit transaction or account: the costs associated with any credit insurance premium or fee, any charge for single premium credit insurance, any fee for a credit-related ancillary product sold in connection with the credit transaction, any application fee charged (other than certain application fees for specified credit transactions or accounts), and any participation fee charged (other than certain participation fees for a credit card account).

Pursuant to 32 C.F.R. § 232, the Military Lending Act (“MLA”) and its implementing regulations provide certain protections for “covered borrowers,” which include active duty members of the military, their spouses, and their dependents. If you are a covered borrower:

(a) We will not require you to submit to arbitration or waive your rights under any applicable consumer protection statute as a condition of obtaining the Card;

(b) We will not require you to waive your right to legal recourse under any otherwise applicable provision of state or federal law;

(c) We will not charge a penalty fee for prepaying the balance (not applicable to this prepaid card as no credit is extended);

(d) The APR applicable to your Card is 0%. No interest or finance charges will be assessed.

Statement of the MAPR applicable to this product: The Military Annual Percentage Rate (MAPR) for this product is 0%. This product is a prepaid card; no credit is extended and no interest is charged.

18. Billing Rights Summary

YOUR BILLING RIGHTS — KEEP THIS DOCUMENT FOR FUTURE REFERENCE

This notice tells you about your rights and our responsibilities under the Fair Credit Billing Act.

What To Do If You Find a Mistake on Your Statement

If you think there is an error on your Statement, write to us at support@dolafy.com. In your communication, provide:

  • Your name and account number;
  • The dollar amount of the suspected error;
  • A description of the error and why you believe it is incorrect.

You must contact us within sixty (60) days after the error appeared on your Statement. You must notify us of any potential errors in writing (email is acceptable).

While we investigate whether or not there has been an error:

  • We cannot try to collect the amount in question, or report you as delinquent on that amount.
  • The charge in question may remain on your Statement, and we may continue to charge you interest on that amount (though no interest is charged on this prepaid card).
  • While you do not have to pay the amount in question, you are responsible for the remainder of your balance.
  • We can apply any unpaid amount against your Available Balance.

After we finish our investigation, one of two things will happen:

  • If we made a mistake: You will not have to pay the amount in question, and any provisional credit will become permanent.
  • If we do not believe there was a mistake: You will have to pay the amount in question, along with applicable finance charges (if any — there are none on this prepaid card). We will send you a statement of the amount you owe and the date payment is due. We may report you as delinquent if you do not pay the amount we think you owe.

If you receive our explanation but still believe your bill is wrong, you must write to us within ten (10) days telling us that you still refuse to pay. If you do so, we cannot report you as delinquent without also reporting that you are questioning your bill. We must tell you the name of anyone to whom we reported you as delinquent and must let those organizations know when the matter has been settled between us.

Your Rights If You Are Dissatisfied With Your Card Purchases

If you are dissatisfied with the goods or services that you have purchased with your Card, and you have tried in good faith to correct the problem with the Merchant, you may have the right not to pay the remaining amount due on the purchase.

To use this right, all of the following must be true:

  1. The purchase must have been made in your home state or within 100 miles of your current mailing address, and the purchase price must have been more than $50. (Note: Neither of these conditions applies if your purchase was based on an advertisement we mailed to you, or if we own the company that sold you the goods or services.)
  2. You must have used your Card for the purchase. Purchases made with cash advances or balance transfers do not qualify.
  3. You must not yet have fully paid for the purchase.

If all of the criteria above are met and you are still dissatisfied with the purchase, contact us at support@dolafy.com.

19. Representations and Warranties

19.1. You represent and warrant that: (a) all information provided to Dolafy in connection with your application for the Card is true, accurate, and complete; (b) you are at least 18 years of age (or the age of majority in your state); (c) you will promptly update your information if it changes; and (d) you will comply with all applicable laws and regulations in connection with your use of the Card.

19.2. You represent and warrant that the Card will be used primarily for personal, family, or household purposes.

20. Privacy

Your use of the Card is subject to the Dolafy Privacy Policy, available at dolafy.com/legal/privacy. By using the Card, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy. Dolafy may share your information with the Issuer, Visa, and their respective service providers as necessary to provide and administer the Card.

21. Arbitration Agreement

21.1. Agreement to Arbitrate. You and Dolafy agree that any dispute, claim, or controversy arising out of or relating to these Card Terms or the use of the Card (collectively, “Disputes”) shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, rather than in a court of law.

21.2. Waiver of Jury Trial. BY AGREEING TO ARBITRATION, YOU AND DOLAFY EACH WAIVE THE RIGHT TO A TRIAL BY JURY.

21.3. Waiver of Class Actions. ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU AND DOLAFY EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate the claims of more than one party and may not preside over any form of representative or class proceeding.

21.4. Arbitration Procedures. The arbitration shall be conducted by a single arbitrator. The arbitration shall be held in San Juan, Puerto Rico, or at another location mutually agreed upon by the parties, or, for claims under $10,000, by telephone or online at your election. The arbitrator shall apply the substantive law of the Commonwealth of Puerto Rico, without regard to its conflict-of-law principles.

21.5. Costs. For claims under $10,000, Dolafy will pay all AAA filing fees and arbitrator costs, unless the arbitrator finds your claim frivolous. For claims of $10,000 or more, filing fees and arbitrator costs will be allocated in accordance with the AAA Consumer Arbitration Rules. Each party shall bear its own attorneys’ fees, except as otherwise required by applicable law or as awarded by the arbitrator.

21.6. Small Claims Court. Notwithstanding the foregoing, either party may bring an individual claim in small claims court if the claim is within that court’s jurisdictional limits.

21.7. Exceptions. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

21.8. Opt-Out. You may opt out of this arbitration agreement by sending written notice to support@dolafy.com within thirty (30) days of activating your Card. Your notice must include your name, address, Dolafy Account information, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, all other provisions of these Card Terms remain in effect.

21.9. Severability. If any provision of this arbitration agreement is found to be unenforceable, that provision shall be severed, and the remainder of the arbitration agreement shall remain in full force and effect. If the waiver of class actions in Section 21.3 is found to be unenforceable as to a particular claim, then the entirety of this arbitration agreement shall be null and void as to that claim only, and that claim shall proceed in court.

21.10. Survival. This arbitration agreement shall survive termination of your Card and these Card Terms.

21.11. Military Lending Act Exception. If you are a “covered borrower” under the Military Lending Act, the arbitration agreement in this Section 21 shall not apply to the extent prohibited by the MLA and its implementing regulations.

22. Governing Law

These Card Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico, without regard to its conflict-of-law principles, except to the extent preempted by federal law, including but not limited to the Electronic Fund Transfer Act and Regulation E.

23. Communications

23.1. You consent to receive communications from Dolafy electronically, including by email, push notification, or through your Dolafy Account. Electronic communications from Dolafy satisfy any legal requirement that such communications be in writing.

23.2. You may contact Dolafy regarding the Card at support@dolafy.com.

24. Amendments

Dolafy reserves the right to amend these Card Terms at any time. Dolafy will provide notice of material amendments at least forty-five (45) days before they become effective, by email or through your Dolafy Account. Your continued use of the Card after the effective date of any amendment constitutes your acceptance of the amended Card Terms. If you do not agree to the amended Card Terms, you must stop using the Card and terminate your Card in accordance with Section 13.2. Amendments that are required by law or that reduce fees or charges may be made with shorter notice or without advance notice.

25. Assignment

You may not assign or transfer your rights or obligations under these Card Terms without the prior written consent of Dolafy. Dolafy may assign or transfer its rights and obligations under these Card Terms without your consent, upon notice to you.

26. Severability

If any provision of these Card Terms is found to be invalid or unenforceable by a court of competent jurisdiction or an arbitrator, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

27. Waiver

The failure of Dolafy to enforce any provision of these Card Terms shall not constitute a waiver of such provision or the right to enforce it at a later time.

28. Entire Agreement

These Card Terms, together with the Dolafy Terms of Service and the Dolafy Privacy Policy, constitute the entire agreement between you and Dolafy with respect to the Card and supersede all prior or contemporaneous agreements, representations, and understandings, whether written or oral, relating to the Card.
