1. Introduction

Welcome to Dolafy. These Terms of Service (“Terms”) are a legal agreement between you (“User,” “you,” or “your”) and AETERNUM CAPITAL LTDA, doing business as Dolafy (“we,” “us,” or “our”), a company registered in Brazil under CNPJ 59.983.687/0001-75.

By accessing our website (dolafy.com), mobile applications, or accessing our virtual account and card services (collectively, the “Platform”), you agree to these Terms. If you do not agree, please do not use our Platform.

Important Notice: Dolafy is a financial technology company, not a bank. Banking services, virtual accounts, and card issuing are provided by our regulated Financial Partners. We provide the technology to manage these services.

2. Who Can Use Dolafy

To use Dolafy, you must meet the following criteria:

  • Age: You must be at least 18 years old.
  • Authority: If you are opening an account for a business, you confirm you have the legal authority to bind that business to these Terms.
  • Location: You must not be a resident of any country subject to comprehensive sanctions (e.g., by the U.S. OFAC, UK, EU, or UN).
  • Compliance: You must not be on any “blocked persons” or sanctions lists.

We reserve the right to reject any application or suspend accounts that do not meet these criteria.

3. Our Services

Dolafy provides a unified dashboard to manage financial operations. Our core offerings include:

3.1 Virtual Bank Accounts

We provide access to virtual accounts that allow you to receive, hold, and send funds.

  • Custody: Dolafy does not hold your funds. Funds are held in custody by our regulated Financial Partners.
  • Transfers: You can use the Platform to initiate payouts and transfers. Processing times depend on the banking networks and our Partners.

3.2 Dolafy Prepaid Cards

Through our Partners, we offer prepaid debit cards (“Cards”).

  • Issuance: Cards are issued by a Partner Bank, not Dolafy.
  • Prepaid Nature: You must load funds onto the Card before use. This is not a credit card; no credit line is extended.
  • Cardholder Agreement: Your use of the Card is also subject to the specific Cardholder Agreement provided by the issuer during activation.

3.3 Developer Tools

For business users, we provide APIs and webhooks to automate payments. You agree to use these tools according to our technical documentation and security standards.

4. Account Security and Verification

4.1 Registration (KYC/KYB)

To comply with financial regulations, we are required to verify your identity (Know Your Customer) or your business details (Know Your Business). You agree to provide accurate, current, and complete information. Failure to provide documentation may result in account restriction.

4.2 Keeping Your Account Safe

You are responsible for maintaining the confidentiality of your login credentials, API keys, and passwords.

  • Notify us immediately at support@dolafy.com if you suspect unauthorized access.
  • We are not liable for losses caused by stolen credentials or unauthorized use of your account.

5. Acceptable Use

You agree to use Dolafy only for lawful purposes. You are strictly prohibited from using the Platform for:

  1. Illegal Activity: Money laundering, fraud, terrorist financing, or purchasing illegal goods.
  2. Restricted Industries: Gambling, adult entertainment, weapons, or high-risk investments without prior written approval.
  3. Abuse: Attempting to bypass our security, reverse-engineer our software, or flood our APIs (DDoS).
  4. Sanctions Evasion: Transacting with sanctioned individuals or entities.

We may monitor transactions to ensure compliance. Violation of this section will result in immediate termination.

6. Fees and Taxes

  • Fees: Our current fee schedule for transactions, withdrawals, and card issuance is displayed clearly on your Dashboard. By conducting a transaction, you agree to the associated fee.
  • Changes: We may update our fees from time to time. We will notify you of significant changes via email or the Dashboard.
  • Taxes: You are solely responsible for calculating and paying any taxes applicable to the transactions you make through Dolafy. We do not provide tax advice.

7. Disclaimers and Limitations

7.1 “As Is” Service

The Platform is provided “as is” and “as available.” While we strive for 99.9% uptime, we do not guarantee that the service will be uninterrupted or error-free.

7.2 Third-Party Reliance

Our services rely on third-party Financial Partners (banks, card networks, payment processors). We are not liable for delays, system failures, or errors caused specifically by these third parties or banking networks.

7.3 Limitation of Liability

To the fullest extent permitted by law, AETERNUM CAPITAL LTDA shall not be liable for any indirect, incidental, or consequential damages (including lost profits or data) arising from your use of Dolafy. Our total liability to you for any claim is limited to the fees you have paid to us in the 12 months preceding the claim.

7.4 No Fiduciary Duty

Dolafy is a technology provider. We are not your investment advisor or trustee. You retain full control and responsibility for your financial decisions.

8. Termination

  • By You: You may close your account at any time by contacting support, provided all pending transactions are settled.
  • By Us: We may suspend or terminate your access immediately if you breach these Terms, if our Financial Partners require it, or if we suspect fraud.

Upon termination, any legitimate funds remaining in your account will be returned to you, subject to regulatory requirements and fraud checks.

9. Intellectual Property

All content, code, logos, and designs on the Platform are the property of AETERNUM CAPITAL LTDA or its licensors. You are granted a limited, revocable license to use the Platform for its intended purpose. You may not copy or reuse our branding without permission.

10. Governing Law

These Terms are governed by the laws of the Federative Republic of Brazil. Any disputes arising from these Terms shall be resolved in the courts of São Paulo, SP, unless a mandatory arbitration clause applies to specific products.
